General Terms and Conditions (GTC)
Preamble
This online shop is exclusively intended for business customers (B2B), including entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law, and special funds under public law. Consumers are excluded.
By placing an order, the Customer confirms that they act in the course of their business or professional activity.

2. Scope
(1) These Terms apply to all contracts for software products and services offered in the online shop.
(2) Any conflicting terms of the Customer shall not apply unless expressly agreed.
3. Contract Formation
(1) Product listings are non-binding.
(2) The Customer submits a binding offer by completing the order process.
(3) Order confirmation does not constitute acceptance.
(4) Contract is formed upon order confirmation or software delivery within two business days.
(5) In case of online or advance payment, the contract is concluded upon payment initiation.
4. Prices and VAT
(1) All prices are exclusive of VAT unless stated otherwise.
(2) For EU business customers with a valid VAT ID, VAT is not charged under the reverse-charge mechanism.
(3) No shipping costs apply as products are digital.
5. Delivery (Digital Provision)
(1) Software is delivered digitally via download or account access.
(2) No physical shipment takes place.
(3) Delivery time is specified in the product description or order confirmation.
6. Payment
(1) Available payment methods are shown in the shop.
(2) Payment is due immediately upon contract conclusion unless otherwise agreed.
7. License Terms (GPL)
(1) Software is licensed under the GNU General Public License (GPL).
(2) The Customer is granted all rights under the GPL, including use, modification, and redistribution.
(3) In case of conflict, the GPL prevails.
8. Support and Updates
(1) Unless otherwise stated, support and updates are included for 12 months.
(2) Support is provided via email or designated channels.
(3) No guarantee is given for response times, bug fixing deadlines, or custom development.
(4) After expiry, no further support or updates are provided.
9. No Right of Withdrawal
(1) The right of withdrawal applies only to consumers.
(2) As this shop is exclusively B2B, no withdrawal rights apply.
(3) If a Customer is nevertheless considered a consumer, statutory rights remain unaffected.
10. Warranty
(1) Statutory warranty rights apply unless otherwise stated.
(2) Software may contain defects; no warranty of error-free performance is given.
11. Liability
(1) Full liability applies in cases of intent, gross negligence, or injury to life, body, or health.
(2) In case of slight negligence, liability is limited to foreseeable damages typical for the contract.
(3) Further liability is excluded where legally permissible.
12. Contract Language and Storage
(1) Contract language is German.
(2) Contract data is stored for at least 90 days and provided upon request.
13. Governing Law
(1) German law applies, excluding the CISG.
(2) Jurisdiction is the provider’s registered office where legally permissible.
14. Final Provisions
If any provision is invalid, the remaining provisions remain in force.
